A Hong Kong limited company (including dormant company) can be deregistered in accordance with S.750 of the Companies Ordinance (Cap. 622) subject to the following conditions:

• all the members agree to the deregistration;

• no commencement of business or ceased business during the 3 months immediately before the deregistration;

• no outstanding liabilities;

• no involvement of any legal proceedings; and

• no immovable property situated in Hong Kong (no matter held by the company or it's subsidiaries).
